Terms of Service

1. Acceptance of Terms

By accessing or using Clavisage ("the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Clavisage.

2. Eligibility

You must be at least 13 years old to use Clavisage. If you are between 13 and 17 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these age requirements and have the legal capacity to enter into this agreement.

We do not independently verify age or parental consent. Responsibility for ensuring that users between the ages of 13 and 17 have obtained appropriate parental or guardian consent rests with the parent or guardian.

3. Description of Service

Clavisage is an AI-powered study platform that allows users to upload course materials (PDFs, Word documents, spreadsheets, and other supported file formats) and receive AI-generated study content including flashcards, quizzes, and spreadsheet exercises. The Service is intended to supplement personal study efforts and educational activities.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@clavisage.com if you suspect any unauthorized use of your account.

You may only create and maintain one account per person. Creating multiple accounts to circumvent credit limits or subscription restrictions is prohibited and may result in termination of all associated accounts.

5. Acceptable Use

You agree not to use Clavisage to:

• Upload, share, or generate content that is illegal, harmful, threatening, or abusive
• Upload copyrighted materials that you do not have the rights to reproduce or process
• Attempt to circumvent credit limits, subscription restrictions, or rate limits
• Reverse-engineer, scrape, or otherwise attempt to extract data or AI model behavior from the Service
• Use the Service for any commercial purpose without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Transmit malicious code, viruses, or other harmful software
• Violate any applicable local, state, national, or international law or regulation

6. AI-Generated Content Disclaimer

Clavisage uses artificial intelligence to generate study content including flashcards, quiz questions, and exercises based on materials you upload. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or outdated information
• Generated content is not a substitute for professional instruction, tutoring, or academic guidance
• You should independently verify any factual information contained in generated study materials before relying on it
• Clavisage makes no guarantee regarding the accuracy, completeness, or educational quality of AI-generated content

7. User Content and File Uploads

You retain full ownership of all files and content you upload to Clavisage ("User Content"). By uploading content, you grant Clavisage a limited, non-exclusive license to process and analyze your User Content solely for the purpose of providing the Service to you.

File processing: Text extracted from your uploaded files is transmitted to OpenAI's API to generate study content. This processing is transactional — your file content is not stored on Clavisage servers after your session ends and is not used to train AI models (consistent with OpenAI's API data usage policies).

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and process your User Content through the Service. You are solely responsible for ensuring that your uploads comply with applicable copyright laws and institutional policies.

8. Subscriptions and Billing

Clavisage offers both a free tier and paid subscription plans ("Student" and "Pro"). Paid subscriptions are billed on a monthly recurring basis via Stripe. By subscribing to a paid plan, you authorize Clavisage to charge your payment method on a monthly basis until you cancel.

Credits are allocated at the start of each billing period and reset monthly. Unused credits do not roll over to the following month.

You may cancel your subscription at any time through your Account page. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period, after which your account will revert to the free tier.

9. No Refund Policy

All subscription fees are non-refundable. Clavisage does not provide refunds or credits for partial subscription periods, unused credits, or in cases where you choose to cancel your subscription before the end of a billing period. If you believe a charge was made in error, please contact us at support@clavisage.com within 30 days of the charge.

10. Intellectual Property

The Clavisage platform, including its name, logo, design, software, and all content created by Clavisage (excluding User Content), is owned by Clavisage and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform or content without our prior written consent.

You retain all intellectual property rights in your User Content. Nothing in these Terms transfers ownership of your uploaded materials to Clavisage.

11. Privacy

Your use of Clavisage is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your personal information.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CLAVISAGE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY AI-GENERATED CONTENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLAVISAGE AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL CLAVISAGE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO CLAVISAGE IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Clavisage and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.

15. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree to submit to the exclusive personal jurisdiction of the courts located in Texas for the resolution of any disputes arising from these Terms or your use of the Service. Notwithstanding the foregoing, nothing in these Terms limits your rights under the mandatory consumer protection laws of your country of residence.

17. Dispute Resolution

Before filing any formal legal claim, you agree to first contact Clavisage at support@clavisage.com and attempt to resolve the dispute informally for at least 30 days.

If the dispute cannot be resolved informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in Texas, conducted in English, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court with jurisdiction. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

You agree that any dispute will be resolved on an individual basis and not as part of any class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
